Terms and Conditions for Zento A/S

1. General Information

These Terms and Conditions apply to access to business accounts on a monthly subscription via the Zento platform, provided in collaboration with our partner EPMAP Limited.
By using our services, you fully accept these Terms and Conditions.

Zento A/S provides the software platform and support for applying for and managing an account with EPMAP Limited. Creating a user on Zento.app does not guarantee approval for a business account with EPMAP Limited. All users must successfully pass EPMAP Limited’s approval process.

2. Products and Prices

Zento offers three subscription plans with varying service levels:

  • Zento FREE – Basic features and support
  • Zento FLEX – Extended features with additional support
  • Zento PRO – All features, priority support, and customized solutions

All prices are exclusive of VAT.

Tariff Plan Changes

  • Clients may request a tariff-plan change at any time based on the prices listed on Zento.app.
  • Requested changes take effect from the next billing period, provided the plan-change fee has been paid.
  • Requests not paid for will not be processed.
  • The minimum time before automatic billing of a plan change is 5 business days.
  • Zento A/S operates with a 5-day technical grace period for applying new fee structures after the payment is registered.
  • It is the customer’s responsibility to ensure correct and timely payment of tariff-plan fees and any up-/downgrade charges.

3. Eligibility for a Business Account with EPMAP Limited

Companies registered in the EU, UK, Norway, and Switzerland may apply.

Certain business types are restricted or limited based on EPMAP Limited’s risk assessment, including but not limited to:

  • Financial service companies
  • Gambling and betting companies
  • Adult content businesses
  • Affiliate marketing and MLM
  • Associations, charities, political or non-profit organizations
  • Crowdfunding and crowdlending services
  • Drugs, pharmaceuticals, pseudo-medicine
  • Precious metals, stones, art, antiques
  • Weapons, knives, hunting/fishing equipment, collectible arms

EPMAP Limited retains full discretion over account approval.

4. Payment Terms

Signup Fee – Accepted Payment Methods

Zento A/S accepts the following methods for the signup fee:

  1. Online payment link
    • Credit card, MobilePay, Apple Pay
  2. Bank transfer
    • Banking Circle – 8900 / 0022194237
    • IBAN: DK2189000022194237
    • BIC/SWIFT: SXPYDKKKXXX
    • Reference: Company registration number

Payment & Refund Terms

  • Payment constitutes a binding agreement between the customer and Zento A/S.
  • The customer waives any right to a refund upon withdrawal or cancellation.
  • If the EPMAP Limited application is rejected, the setup fee will be refunded upon submission of a refund form provided by Zento A/S.

Subscription Payments

Once approved by EPMAP Limited, subscription fees are automatically deducted from the business account.

  • The customer must ensure sufficient funds are available.
  • The monthly fee is collected 10 days after activation based on the selected tariff.
  • If insufficient funds are available, the account will be suspended until payment is successfully collected.
  • Unpaid fees accumulate. Multiple unpaid months stack into a single amount due before reactivation.

Cancellation

  • Customers may cancel at any time.
  • Cancellation takes effect at the end of the current active tariff period.
  • Suspended accounts may also be cancelled, but any outstanding fees remain payable.
  • Closed accounts cannot be reactivated; a new application is required.
  • Customers with outstanding debt to Zento A/S or EPMAP Limited cannot submit a new application until all debt is settled.

5. Subscription Terms

  • This is a pay-as-you-go service with no minimum binding period.
  • Termination by the customer takes effect at the end of the active tariff period.
  • Zento A/S and EPMAP Limited may terminate a customer with 60 days’ notice, effective at the end of a tariff period.
  • Immediate termination without warning may occur if EPMAP Limited determines that AML, regulatory, or internal risk rules have been violated.

6. Customer Responsibilities

Customers must keep both Zento A/S and EPMAP Limited updated with correct company and contact information.

  • Changes to company name, address, or ownership must be reported.
  • Change Fee: DKK 999 excl. VAT
  • Customers must notify Zento A/S in case of bankruptcy proceedings or company closure.

EPMAP Limited performs periodic checks against official registers. If information changes without notification and fee payment, the account may be suspended.

During suspension, customers remain obligated to pay ongoing fees.

If the customer does not respond to inquiries regarding company changes, Zento A/S and EPMAP Limtied may be required to suspend/cancel or the account.

7. Delivery and Geographic Area

Services are delivered digitally through the Zento platform.

Customers will be notified of changes via email or announcements on our website.

8. Refund Policy

The signup paid at the point of submission of an application is refundable if the application is declined.

10. Limitation of Liability

EPMAP Limited handle customer funds according to applicable laws.

  • Neither party is liable for indirect or consequential losses.
  • Maximum liability is limited to the amount the customer has paid to Zento A/S in the previous 12 months.

11. Changes to Terms and Conditions

We reserve the right to amend these Terms and Conditions. Changes will be published on our website and take immediate effect.

12. Governing Law and Jurisdiction

  • For Zento A/S services: Danish law, Danish courts.
  • For EPMAP Limited account services: Cyprus law, Cyprus courts.

13. Confidentiality

All information exchanged between the customer and Zento A/S is treated confidentially and will not be shared with third parties except when necessary to deliver services or required by law.

14. Data Protection

Zento A/S is responsible for processing personal data related to use of the Zento platform and complies with GDPR and relevant regulations.
