Terms and Conditions for Zento A/S

1. General Information

These terms and conditions apply to access to business accounts on a monthly subscription via our platform, provided in collaboration with our partner B4B Payments. By using our services, you fully accept these terms and conditions.

2. Products and Prices

We offer three different subscription plans with varying service levels:

  • Zento FREE – Basic features and support.
  • Zento FLEX – Extended features with additional support.
  • Zento PRO – All features with priority support and customized solutions.

All prices are exclusive of VAT.

Zento A/S provides a software platform and support for an account with B4B Payments.

Creating a user on Zento.app does not guarantee a business account with B4B Payments. All users of Zento.app must have an approved application to obtain a business account.

Zento A/S assists customers in setting up an account with B4B Payments but has no influence over the outcome of the application.

3. Who Can Apply for a Business Account with B4B Payments?

Companies within the EU and the UK can apply for an account, with the following exceptions:

Based on B4B Payments' risk assessment, applications from the following types of businesses are not accepted:

  • Holding companies – Private limited companies (ApS) with industry codes related to holding companies.
  • Financial service companies – Businesses that own other companies, shares, or invest for financial gain.
  • Gambling and betting companies – Casinos, slot machines, or businesses offering betting services.
  • Adult content – Dating sites, adult content websites, pornography businesses, and escort services.
  • Affiliate marketing – Network marketing, referral marketing, and multi-level marketing.
  • Associations and charities – Social service organizations, non-profit, or political organizations.
  • Crowdfunding – Crowdlending and similar activities.
  • Drugs and pharmaceuticals – Including medicines, pseudo-medicines, and related products.
  • Precious metals and stones – Art, antiques, and other valuable goods.
  • Weapons – Including knives, hunting and fishing equipment, antique weapons, and collectibles.

4. Payment Terms

Zento A/S accepts the following payment methods:

  1. Payment link: Sent via email/SMS and payable by credit card, MobilePay, or Apple Pay. Payment must be made within 8 days.
  2. Bank transfer:

    • Remember to include your company registration number (CVR) as a reference.)

Payment and Refund Terms

  • Payment is considered a binding agreement between the customer and Zento A/S.
  • The customer waives the right to a refund upon withdrawal or termination.
  • Only if the application is rejected by B4B Payments can the setup fee be refunded, upon completion of a refund request form sent via email after rejection.

Subscription Payments

Once an application is approved by B4B Payments, subscription payments are automatically deducted from the business account. The customer is responsible for ensuring sufficient funds to cover the subscription and any fees.

If there are insufficient funds, a collection notice will be issued with a 10-day payment deadline. In case of late payment, Zento A/S may charge costs and interest in accordance with debt collection and interest laws.

5. Subscription Terms

  • Binding period: 12 months from the date of setup.
  • Termination: After the binding period, the subscription can be canceled with 3 months’ notice from the signing of the termination document. The subscription must be paid during the notice period.

6. Customer Responsibilities

  • The customer must keep Zento A/S updated with contact details, including email and phone number.
  • Changes in company name, address, or ownership must be reported to Zento A/S.
  • Change fee: DKK 999 excluding VAT.
  • The customer must inform Zento A/S in case of bankruptcy notices or company closure.

7. Delivery and Geographic Area

Services are delivered digitally via our platform.

  • Primarily for customers in Denmark, but we plan to expand to other EU countries.
  • Customers will be informed of any changes via our website and email.

8. Refund Policy

  • Rejection upon setup: The setup fee is refunded if the application is rejected by B4B Payments.
  • Suspicious activities: If the account is closed by B4B Payments due to suspicious activities, no refund will be given.

10. Limitation of Liability

Zento A/S and B4B Payments are responsible for handling the customer’s funds in accordance with applicable laws.

  • We are not liable for indirect losses or consequential damages.
  • The maximum liability is limited to the amount the customer has paid for the services in the past 12 months.

11. Changes to Terms and Conditions

We reserve the right to amend these terms and conditions. Changes will be published on our website and take effect immediately.

12. Governing Law and Jurisdiction

These terms and conditions are governed by Danish law, and any disputes will be settled by Danish courts.

13. Confidentiality

All information exchanged between the customer and Zento A/S is treated confidentially and will not be shared with third parties without the customer’s consent, unless necessary for service execution or required by law.

14. Data Responsibility

Zento A/S is responsible for handling personal data related to our services. We comply with GDPR and other relevant regulations.
